Standard de Liège Charter concerning collaboration with intermediaries

1. TOEPASSINGSBEREIK

Dit charter werd opgesteld door Standard de Liège om de activiteiten van de tussenpersonen te regelen en een coherent beleid te voeren dat gemeenschappelijk is voor alle tussenpersonen.

Een tussenpersoon is elke natuurlijke of rechtspersoon die de volgende activiteiten in België wenst uit te oefenen:

  • Het - gratis of tegen betaling - vertegenwoordigen van spelers en/of coaches bij onderhandelingen om een arbeidscontract binnen een Belgische club af te sluiten en/of te verlengen;
  • Het vertegenwoordigen van clubs in onderhandelingen met als doel het sluiten van een transferovereenkomst met een Belgische club (bemiddeling).

Elke tussenpersoon die wenst samen te werken met Standard de Liège moet zonder enig voorbehoud alle bepalingen van dit charter aanvaarden. Hij/zij verbindt zich er ook toe zijn instemming te betuigen met het charter van Standard de Liège omtrent de samenwerking met tussenpersonen (Bijlage 1).

2. TOEPASSELIJKE REGLEMENTERING

Zonder afbreuk te doen aan de wettelijke bepalingen van het openbaar beleid, de dwingende bepalingen van het Belgische recht of de gewestelijke bepalingen inzake onderhandse plaatsingen (decreet van 3 april 2009 betreffende de registratie of erkenning van uitzendbureaus en het decreet van de Waalse regering van 10 december 2009 tot uitvoering ervan), zijn de tussenpersonen en Standard de Liège van plan hun contractuele betrekkingen te baseren op de bepalingen van de het openbaar beleid of de dwingende bepalingen van het Belgische recht:

  1. het FIFA-reglement inzake samenwerking met tussenpersonen (bijlage 2) ;
  2. het reglement van de Royal Belgian Football Association ("RBFA") over de samenwerking met tussenpersonen (bijlage 3).

Zij verbinden zich ertoe alle bepalingen ervan nauwgezet na te leven en onmiddellijk alle wettelijke en/of regelgevende bepalingen na te leven die de activiteit van de tussenpersonen in de ruimste zin en die in de toekomst van kracht kunnen worden, bij voorbeeld en zonder dat dit beperkend is, de reglementen die al door de FIFA en de Pro-League voorzien zijn.

3. REGISTRATIES EN VERKLARING VAN DE TUSSENPERSOON

Standard de Liège zal uitsluitend samenwerken met tussenpersonen die geregistreerd zijn bij het Waalse Gewest, in overeenstemming met het decreet van 3 april 2009 over de registratie of erkenning van uitzendbureaus, alsook bij de RBFA.

Als een tussenpersoon op het moment van de transactie niet bij de RBFA geregistreerd is, verbindt hij zich ertoe een bemiddelingsverklaring in te vullen en te ondertekenen (bijlage 4 = natuurlijke persoon - bijlage 5 = rechtspersoon). De tussenpersoon verbindt zich ertoe de RBFA binnen 10 dagen na het afsluiten van de transactie de overige elementen te verstrekken die nodig zijn voor zijn registratie.

4. BELANGENCONFLICT

Standard de Liège en de tussenpersonen verbinden zich ertoe alles te doen om belangenconflicten te vermijden.

Daartoe stelt Standard de Liège de volgende principes vast:

  • De norm is niet bedoeld om zich te beperken tot samenwerking met een beperkt aantal tussenpersonen. Standard de Liège zal er dus voor zorgen dat een tussenpersoon niet te veel spelers en/of coaches kan vertegenwoordigen binnen zijn Eerste Team en zijn jeugdteams;
  • Een speler of coach mag slechts door één tussenpersoon vertegenwoordigd zijn anders zal slechts één tussenpersoon door Standard de Liège erkend zijn als officiële vertegenwoordiger van de speler;
  • Een tussenpersoon die een speler vertegenwoordigt in het kader van de ondertekening van zijn arbeidscontract mag in geen geval door Standard de Liège worden gemandateerd voor de latere overdracht van deze zelfde speler, aangezien dit duidelijk een belangenconflict vormt;
  • De tussenpersoon verklaart en garandeert dat noch de speler, noch enige andere persoon met wie de speler een familierelatie heeft, noch enige andere derde partij een bedrag of voordeel van welke aard dan ook heeft ontvangen of zal ontvangen in verband met de contractuele relatie tussen de tussenpersoon en Standard de Liège.
  • De tussenpersoon verklaart en garandeert dat hij geen enkele handeling zal stellen of enige houding zal aannemen die erop gericht is om Standard de Liège, een van zijn leden of een van zijn vertegenwoordigers te beïnvloeden in het kader van de contractuele of buitencontractuele relaties die zij kunnen onderhouden. Bovendien verbindt hij zich ertoe geen enkele contractuele of buitencontractuele relatie aan te gaan met een lid of vertegenwoordiger van Standard de Liège met als doel een toekenning van een bedrag of een voordeel van welke aard ook.

5. RELATIE MET DE TUSSENPERSOON

Elke overeenkomst tussen Standard de Liège en de tussenpersoon vormt een intuitu personae overeenkomst ten aanzien van de tussenpersoon. In het geval dat de tussenpersoon geen natuurlijk persoon is, in het geval van een wijziging van een of meer hogere kaderleden van de tussenpersoon, zal de overeenkomst automatisch worden beëindigd, tenzij Standard de Liège hiervan op voorhand en tijdig op de hoogte wordt gebracht en de wijziging schriftelijk heeft aanvaard.

6. STANDSTILL- EN BEËINDIGINGSCLAUSULE

Elke gerechtelijke veroordeling van de tussenpersoon, zijn bedrijf of een van zijn agenten maakt de met de tussenpersoon gesloten overeenkomst nietig, waardoor alle rechten en verplichtingen van de partijen teniet worden gedaan. Indien Standard de Liège in het kader van deze veroordeling als benadeelde partij zou worden beschouwd, zou Standard de Liège het recht hebben om de terugbetaling te eisen van alle bedragen die aan de tussenpersoon zijn betaald, alsook van de schadevergoeding en de belangen. 

7. PRIVACY

De tussenpersoon zal alle informatie die hij of zij in het kader van zijn of haar beroepsuitoefening tegenkomt als vertrouwelijk behandelen. De tussenpersoon zal niet communiceren (inclusief, maar niet uitsluitend, vermeldingen op websites of sociale media, in interviews of persberichten) over activiteiten die een verband hebben met Standard de Liège en/of zijn spelers, coaches en/of vertegenwoordigers.

8. REGELS VAN STANDARD DE LIEGE

8.1. ONDERHANDELINGEN OVER EEN ARBEIDSOVEREENKOMST

Elke tussenpersoon die geregistreerd is bij de RBFA en officieel gemandateerd is door de speler die ouder is dan 18 jaar om te onderhandelen over een arbeidscontract met Standard de Liège heeft recht op een commissie bij de ondertekening van dit contract tussen de speler en Standard de Liège.

De tussenpersoon die heeft ingegrepen in de onderhandelingen over het contract van de speler zal kunnen kiezen tussen de twee commissiesystemen die hieronder in de punten 8.1.1. en 8.2.2. worden toegelicht.
 

Zodra de agent één van de twee systemen gekozen heeft, stelt Standard de Liège een overeenkomst op tussen de partijen die « Convention de mandat de placement pour un intermédiaire » of  « Mediation agreement » noemt, op basis van het gekozen systeem.

Er mag geen enkel ander systeem of enige andere vorm van vergoeding worden onderhandeld tussen de agent en Standard de Liège.

Een betaling aan de tussenpersoon mag op geen enkele wijze worden gedaan op een bankrekening die afkomstig is uit een land of gebied dat is opgenomen in de lijst van niet-coöperatieve landen van de OESO1 of die behoort tot een onderneming waarvan het hoofdkantoor in een dergelijk land of gebied ligt.

Bovendien zal Standard de Liège, om volledig transparant te blijven, de speler telkens informeren over de onderhandelingen van de overeenkomsten met de tussenpersoon die hem vertegenwoordigt. De tussenpersoon kan zich in geen geval tegen een dergelijke mededeling verzetten.

8.1.1. 10%-systeem:

Commissie van 10% van het brutosalaris van de speler dat jaarlijks betaald wordt en voor de hele duur van het spelerscontract en zolang de speler nog in dienst is bij Standard de Liège;

  • Het salaris is inclusief:
    • Het bruto maandsalaris (maal het aantal maanden van het contract);
    • Vakantiegeld;
    • De totale teken- en getrouwheidsbonussen;
  • Het salaris omvat niet:
    • Groepsverzekering (pensioenfonds);
    • Voordelen in natura;
    • Diverse vergoedingen (huisvesting, reizen...);
    • Variabele beloning (wedstrijdbonussen, startbonussen, selectie, doelstellingen, etc.);
    • Alle andere bonussen (behalve teken- en getrouwheidsbonussen).

De eerste betaling kan door de tussenpersoon aan Standard de Liège gefactureerd worden vanaf de 10de dag van de maand die volgt op de ondertekening van het contract. Op deze factuur moet duidelijk worden aangegeven op welke bankrekening de commissie zal worden betaald. De eerste factuur moet gepaard gaan met de officiële bankgegevens. Deze moet afgegeven worden door de bank van de tussenpersoon. De volgende betalingen kunnen worden gefactureerd op elke verjaardagsdatum zolang de speler nog lid is van Standard de Liège (als de speler in bruikleen is bij een andere club worden de commissies automatisch geschorst voor de duur van de lening). Wanneer dit van toepassing is, worden alle documenten en betalingen verwerkt via Clearing House dat opgericht is door de RBFA en/of FIFA. 

8.1.2. Systeem 7%:

Commissie van 7% van het salaris van de speler dat jaarlijks betaald wordt voor de hele duur van het spelerscontract en zolang de speler nog in dienst is bij Standard de Liège;

Als de speler Standard de Liège vroegtijdig verlaat, worden de betalingstermijnen die aan de agent verschuldigd zijn onderhouden (behalve in het geval van een eenzijdige contractbreuk door de speler zonder geldige reden of door de club met geldige reden).

  • Het salaris omvat:
    • Het bruto maandsalaris (vermenigvuldigd met het aantal maanden van het contract);
    • Vakantiegeld;
    • De totale teken- en getrouwheidsbonussen;
  • Het salaris omvat niet:
    • Groepsverzekering;
    • Voordelen in natura;
    • Diverse vergoedingen (huisvesting, reizen...);
    • Variabele beloning (wedstrijdbonussen, startbonussen, selectie, doelstellingen, etc.);
    • Alle andere bonussen (behalve teken- en getrouwheidsbonussen).

De eerste betaling kan worden gefactureerd via Standard de Liège vanaf de 10e dag van de maand die volgt op de ondertekening van het contract. Op deze factuur moet duidelijk worden vermeld op welke bankrekening de commissie zal worden betaald. De eerste factuur moet gepaard gaan met de officiële bankgegevens. Deze moeten afgegeven worden door de bank van de tussenpersoon. De volgende betalingen kunnen worden gefactureerd op elke verjaardagsdatum, ongeacht of de speler nog bij Standard de Liège is of niet (als de speler bij een andere club in bruikleen is, wordt de commissie onderhouden). Wanneer dit van toepassing is, worden alle documenten en betalingen verwerkt via Clearing House dat opgericht is het door de RBFA en/of FIFA. 

8.2. ONDERHANDELING OVER EEN UITGAANDE TRANSFER

Elke tussenpersoon die geregistreerd is bij de RBFA en officieel gemandateerd is door Standard de Liège kan, voor het onderhandelen over een uitgaande transfer (verkoop) van een speler, mogelijk recht hebben op een commissie bij het afsluiten van een transfercontract tussen een derde club en Standard de Liège.

Het bedrag van de vergoeding die aan de tussenpersoon wordt toegekend, wordt uitsluitend bepaald door Standard de Liège en mag in geen geval meer bedragen dan 10% van de werkelijk gerealiseerde netto meerwaarde.

Onder “netto gerealiseerde meerwaarde” wordt verstaan het vaste en brutobedrag van de uitgaande transfer van de speler minus:

  • elke vorm van solidariteitsvergoeding betaald door Standard de Liège met betrekking tot deze speler;
  • elke vorm van opleidingsvergoeding die Standard de Liège voor deze speler betaalt;
  • elke vorm van vaste of voorwaardelijke transfervergoeding betaald door Standard de Liège voor de inkomende transfer van de speler;
  • alle commissies die aan tussenpersonen worden betaald in verband met het afsluiten van de arbeidsovereenkomst van de speler, de verlenging ervan of de inkomende transfer van de speler; en
  • alle loonkosten van de speler sinds hij bij Standard de Liège is komen werken.

Zodra de transfer van de speler onderschreven is en de speler officieel is overgedragen aan een derde club, stelt Standard de Liège een overeenkomst op tussen de partijen met de titel « Convention de médiation » of « Mediation agreement » op basis van de voorwaarden van het mandaat dat aan de tussenpersoon is verstrekt.

Er mag geen enkel andere vorm van vergoeding worden onderhandeld tussen de agent en Standard de Liège.


Standard de Liège Charter concerning collaboration with intermediaries

1. Scopes of application

This charter has been drawn up by Standard de Liège to regulate the activities of intermediaries and to establish a coherent policy that is common to all intermediaries.

The term “intermediary” refers to any natural or legal person who wishes to carry out the following activities in Belgium:

  • Representing - free of charge or for a fee - players and/or coaches in negotiations to conclude, extend or renew an employment contract within a Belgian
  • Representing clubs in negotiations with a view to concluding a transfer agreement with a Belgian club (mediation).

Any intermediary willing to collaborate with Standard de Liège must accept all the provisions of this charter without any reservation. He also undertakes to complete and sign for agreement the document of adhesion to the Standard de Liège charter concerning collaboration with intermediaries (Annex 1).

2.  Applicable regulations

Without prejudice to the legal provisions of public order or mandatory provisions of Belgian law nor to the regional provisions relating to private investments (decree of 3rd April 2009 relating to the registration or approval of employment agencies and the decree of the Government of Wallonia of 10th December 2009 implementing it), the intermediaries and Standard de Liège intend to base their contractual relations on:

  1. the FIFA regulations on collaboration with intermediaries (Appendix 2).
  2. the regulations of the Royal Belgian Football Association ("RBFA") on collaboration with intermediaries (Annex 3).

They undertake to strictly respect all of its provisions, as well as to bring themselves into immediate conformity with all of the legislative and / or regulatory provisions governing the activity of Intermediary in the broad sense which would come into force in the future, for example and without this being restrictive of at least the regulations already considered by FIFA and the Pro League.

3. Registrations and intermediary declaration

Standard de Liège exclusively agrees to collaborate with intermediaries duly registered with the Walloon Region in accordance with the decree of 3rd April 2009 on the registration or approval of employment agencies, as well as with the RBFA.

If an intermediary is not registered with the RBFA at the time of the transaction, he undertakes to complete and sign an intermediary declaration (Annex 4 = natural person - Annex 5 = legal person). The intermediary undertakes to provide the RBFA with the other elements that are necessary for its registration within 10 days of the conclusion of the transaction.

4. Conflict of Interest

Standard de Liège and the intermediaries undertake to do all they can to avoid situations of potential conflict of interest.

To this end, Standard de Liège sets the following rules:

  • The Standard does not intend to limit itself to collaborating with a limited number of intermediaries. It will therefore ensure that an intermediary cannot represent too many players and/or coaches within its First Team and youth
  • A player or coach may only be represented by one intermediary. Failing this, only one intermediary will be recognised by Standard de Liège as the player's official
  • An intermediary representing a player in the context of the signing of his employment contract may in no way be mandated by Standard de Liège for the subsequent transfer of this same player, as this clearly constitutes a conflict of
  • The intermediary declares and guarantees that neither the player, nor any other person the player has a family relationship with, nor any other third party has received or will receive any sum or benefit of any kind whatsoever in connection with the contractual relationship between the intermediary and Standard de Liège.
  • The intermediary declares and guarantees that he will not take any action or display any attitude aimed at influencing Standard de Liège, one of its members or one of its representatives in the context of any contractual or extra-contractual relations that they may have. Furthermore, he undertakes not to have any contractual or extra-contractual relationship with a member or representative of Standard de Liège who could grant him a sum or benefit of whatsoever

5. Relationship with the intermediary

Any agreement between Standard de Liège and the intermediary constitutes an agreement intuitu personae towards the intermediary. In the event that the intermediary is not a natural person, the change of one or more senior executives of the intermediary will automatically leas to the end of the agreement, unless Standard de Liège is informed in advance, in a timely manner and has embraced the change in writing.

6. Suspensive and resolutory clause

Any judicial condemnation of the intermediary, his company or one of its representatives shall render the agreement concluded with the intermediary null and void, extinguishing all the rights and obligations of the parties. In the event that Standard de Liège would be considered as an injured party in the context of this condemnation, Standard de Liège would be entitled to claim the reimbursement of all sums paid to the intermediary as well as damages and interest.

7. Privacy

The intermediary will treat as confidential all information that he or she encounters during his or her professional practice. The intermediary will not communicate (including, but not limited to, mentions on websites or social media, in interviews or press releases) about activities that have any connection whatsoever with Standard de Liège and/or its players, coaches and/or representatives.

8. Rules of Standard de Liège

8.1. Negotiation of an employment contract

Any intermediary registered with the RBFA and officially mandated by the player over 18 years of age to negotiate a contract of employment with Standard de Liège will be entitled to a commission upon signature of this contract between the player and Standard de Liège.

The intermediary who intervened in the negotiations of the player's contract will be able to choose between the two commission systems explained below in points 8.1.1. and 8.2.2.

Once the agent has chosen one of the two systems, Standard de Liège will draw up an agreement between the parties entitled "Agency agreement for an intermediary" or "Mediation agreement" based on the chosen system.

No other system or any other form of remuneration may be negotiated between the agent and Standard de Liège.

Any payment to the intermediary may in no way be made to a bank account originating in a country or territory included in the list of non-cooperative countries of the OECD1 or belonging to a company having its registered office in such a country or territory.

Furthermore, in the interest of full transparency, Standard de Liège will systematically inform the player about the negotiation of agreements with the intermediary that represents him. The intermediary may in no case oppose such communication.

8.1.1. 10% system:

Commission of 10% of the player's gross salary payable annually for the duration of the player's contract and as long as the player is still on the Standard de Liège staff.

  • The salary includes:
    • The gross monthly salary (multiplied by the number of months of the contract).
    • Holiday allowance.
    • Signing bonuses and total loyalty
  • The salary does not include:
    • Group insurance (pension fund).
    • Benefits in
    • Miscellaneous allowances (housing, travel, ).
    • Variable remuneration (match bonuses, bonuses for starting places, selection, objectives, ).
    • All other bonuses (other than signature and loyalty bonuses). 

The first due date may be invoiced by the intermediary to Standard de Liège from the 10th day of the month following the signature of the contract. This invoice must clearly indicate the bank account to which the commission will be paid. The first invoice must be accompanied by an official bank ID issued by the intermediary's bank. The following due dates may be invoiced on each anniversary date as long as the player is still part of the Standard de Liège team (if the player is on loan at another club, the commissions will be automatically suspended for the duration of the loan). When this applies, all documents and payments will be processed through the Clearing House set up by the RBFA and/or FIFA. 

8.1.2. System 7%:

Commission of 7% of the Player's salary payable annually for the duration of the Player's contract.

If the player leaves Standard de Liège early, the instalments due to the agent will be maintained (except in the case of unilateral breach of contract by the player without just cause or by the club with just cause).

  • The salary includes:
    • The gross monthly salary (multiplied by the number of months of the contract).
    • Holiday allowance.
    • Signing bonuses and total loyalty bonuses.
  • Salary does not include:
    • Group insurance.
    • Benefits in kind.
    • Miscellaneous allowances (housing, travel, etc.).
    • Variable remuneration (match bonuses, bonuses for starting places, selection, objectives, etc.).
    • All other bonuses (other than signature and loyalty bonuses).

The first due date may be invoiced by the intermediary to Standard de Liège from the 10th day of the month following the signature of the contract. This invoice must clearly indicate the bank account to which the commission will be paid. The first invoice must be accompanied by an official bank ID issued by the intermediary's bank. The following due dates may be invoiced on each anniversary date, regardless of whether the player is still part of the Standard de Liège team or not (if the player is on loan at another club, the commission will be maintained). When this applies, all documents and payments will be processed through the Clearing House set up by the RBFA and/or FIFA.

8.2. Negotiation of an outgoing transfer

Any intermediary registered with the RBFA and officially mandated by Standard Liege to negotiate an outgoing transfer (sale) of a player could possibly be entitled to a commission when concluding a transfer contract between a third club and Standard Liege.

The level of the remuneration granted to the intermediary is determined solely by Standard Liege and may in no way exceed 10% of the net capital gain realised.

The net capital gain realised refers to the fixed and gross amount of the player's exit transfer minus:

  • any form of solidarity allowance paid by Standard de Liège concerning this player.
  • any form of training compensation paid by Standard de Liège in respect of that player.
  • any form of fixed or conditional transfer compensation paid by Standard de Liège for the incoming transfer of the player.
  • all commissions paid to intermediaries in connection with the conclusion of the player's employment contract, its extension or the player's incoming transfer.
  • all the player's salary costs since he started working for Standard de Liège.

Once the transfer of the player will be ratified and the player will officially be transferred to a third club, Standard de Liège will draw up an agreement between the parties entitled "Mediation agreement" or "Convention de mediation" based on the conditions of the mandate issued to the intermediary.

No other form of remuneration may be negotiated between the agent and Standard de Liège.
